Terms of Service

The rules for using Verb. Please read these terms carefully before you start using our service.

These Terms of Service ("Terms") govern your access to and use of the verb.so website and the Verb software-as-a-service application (together, the "Service"), operated by Verb Technologies, Inc. ("Verb", "we", "us", or "our").

Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

1. Eligibility and accounts

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the authority to enter into these Terms, including on behalf of any organization you represent.

When you create an account, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your account. You agree to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

2. Subscriptions and billing

Some parts of the Service are billed on a subscription basis ("Subscription"). You will be billed in advance on a recurring, periodic basis ("Billing Cycle"), depending on the plan you select. Unless you cancel, your Subscription will automatically renew at the end of each Billing Cycle under the same conditions.

A valid payment method is required to process the payment for your Subscription. You agree to provide accurate and complete billing information. If automatic billing fails, we may suspend or terminate your access to the paid features of the Service.

We may change Subscription fees at any time. Any fee change will become effective at the end of the then-current Billing Cycle. We will provide you with reasonable prior notice of any change in fees to give you an opportunity to cancel before the change takes effect.

Except where required by law, paid Subscription fees are non-refundable. You may cancel your Subscription at any time, and you will retain access to paid features through the end of your current Billing Cycle.

3. Connected platforms and third-party services

The Service lets you connect accounts from third-party social media platforms — such as Instagram, TikTok, YouTube, X, LinkedIn, Facebook, Threads, Pinterest, Mastodon, and Bluesky — and to schedule, publish, and manage content through them. Your use of those platforms is governed by their own terms of service and policies, and you are solely responsible for complying with them.

  • You represent that you have the right to connect each account and to publish the content you submit through the Service.
  • You acknowledge that the third-party platforms control their own APIs and may change, limit, or discontinue access at any time, which may affect the Service's functionality without liability to us.
  • We are not responsible for the availability, accuracy, or actions of any third-party platform, including any content removed, rejected, or delayed by that platform.

4. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law or regulation, or the terms or policies of any connected platform.
  • Post, publish, or distribute content that is unlawful, defamatory, harassing, abusive, fraudulent, infringing, obscene, or otherwise objectionable.
  • Send spam or any unsolicited or unauthorized advertising or promotional material.
  • Infringe the intellectual property or other rights of any third party.
  • Transmit any malware, or attempt to gain unauthorized access to, interfere with, or disrupt the Service or its infrastructure.
  • Reverse engineer, scrape, or attempt to extract the source code of the Service, except to the extent permitted by law.

We reserve the right to suspend or terminate accounts that violate this section, and to remove content that we reasonably believe violates these Terms.

5. Your content

You retain all rights to the content you create, upload, or publish through the Service ("Your Content"). You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely as necessary to provide and improve the Service — including delivering it to the connected platforms you direct us to publish to.

You are solely responsible for Your Content and the consequences of publishing it. You represent and warrant that you have all rights necessary to grant the license above and that Your Content does not violate these Terms or any third-party rights.

6. Intellectual property

The Service and its original content (excluding Your Content), features, and functionality are and will remain the exclusive property of Verb Technologies, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

7. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may stop using the Service at any time by canceling your account.

Provisions that by their nature should survive termination — including ownership provisions, warranty disclaimers, indemnity, and limitations of liability — will survive.

8. Disclaimer of warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any content will be published successfully or on time to any connected platform.

9. Limitation of liability

To the maximum extent permitted by law, in no event shall Verb Technologies, Inc., its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of, or inability to access or use, the Service. Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Verb Technologies, Inc. and its licensors and their respective employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from your use of the Service, Your Content, or your violation of these Terms or any third-party rights.

11. Governing law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12. Changes to these Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect by posting the updated Terms on this page and updating the "effective date" above. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms.
